1. Acceptance of These Terms
By visiting this website, submitting an inquiry or engaging BPZ CONSTRUCTION GENERAL LLC for any service, a person agrees to these Terms of Service. A person who does not agree should not use the website and should not submit a project inquiry.
These terms apply to the public website and to preliminary communications. They do not replace a written construction agreement. When a signed contract exists, that contract governs the project work, and these terms apply only to the extent that the contract refers to them or does not conflict with them.
The company may provide a separate proposal, scope sheet or work authorization for a specific project. A signed proposal is a contract document and takes priority over general statements on this website where the two differ.
2. Definitions
In these terms, the company means BPZ CONSTRUCTION GENERAL LLC. The client means the person or entity that engages the company or submits an inquiry through the website. The website means the pages published at bpzconstruction.lat and its subdomains. The project means the construction, coordination or consulting work described in a signed agreement.
Trade partner means a subcontractor, supplier, engineer, inspector or design professional engaged in connection with a project. Drawings means plans, sketches, schedules, specifications, models and other technical documents. Deliverables means the physical work and the documents that the company is required to provide under a signed agreement.
Business day means a day other than Saturday, Sunday or a public holiday in the State of Utah. Written notice includes email, a signed letter and a message sent through a project management platform that both parties have agreed to use.
3. Permitted Website Use
The website is provided for general information about the company and its services. A visitor may read the pages, print a page for personal reference and share a link with a colleague or client. A visitor may not copy large portions of the site into another publication, present the company content as original work or use the content to train a commercial model without written permission.
A visitor may not attempt to gain unauthorized access to the site, interfere with its operation, introduce malicious code, scrape the site at a volume that degrades performance or use the contact form to send unsolicited advertising. The company may block an address that engages in abusive behavior and may report serious conduct to the appropriate authority.
The website is offered free of charge. The company does not guarantee uninterrupted availability and may take the site offline for maintenance or updates without notice.
4. Quotes and Estimates
A budget range, an order of magnitude figure or a verbal estimate is not a binding offer. A binding quote is issued in writing, identifies the scope and the assumptions, states the validity period and is signed or formally accepted by the client. Quotes are based on the information available at the time of issue.
Unless the written quote states otherwise, a quote remains valid for thirty calendar days. Material prices, labor rates and subcontractor availability can move quickly, and an expired quote may be revised. The company will not raise a quoted price during the validity period unless the client requests a scope change or a concealed condition is discovered.
Allowances shown in a quote are estimates for items that cannot be finalized before the work begins, such as fixtures, finishes or an unknown repair. The company reconciles each allowance against actual cost with receipts and a written summary. Unused allowance funds are returned to the client and overruns require written approval.
5. Project Scope and Change Orders
The scope of a project is defined by the signed agreement and the drawings listed in it. Work that is not described in those documents is outside the scope, even if it seems related or necessary. The company will identify an apparent gap and offer a change order rather than performing extra work without a written instruction.
A change order records the description of the change, the price, the schedule effect and the effect on other trades. Change orders are effective when signed by both parties. In an emergency that threatens safety or property, the company may act to prevent harm and will document the action and the cost as soon as conditions allow.
Verbal direction from a person who is not authorized in the agreement does not create a change. The agreement names the representatives who can authorize work. If a representative changes, the client should confirm the change in writing.
6. Schedule and Site Access
The company prepares a schedule based on the scope, the permit process and the availability of trades. The schedule is a good faith projection, not a guarantee, and it assumes that the client provides access, approvals and decisions on the dates stated in the agreement.
The client grants the company and its trade partners a right of access to the project site during agreed hours. The client is responsible for arranging parking, staging, utility connections, restroom facilities and any building rules that affect access. Where a landlord or property manager controls the site, the client will obtain the needed approvals before the start date.
If the site is not ready on the start date, or if access is interrupted, the company may adjust the schedule and charge for remobilization. Any such cost will be documented and discussed before it is invoiced.
7. Client Responsibilities
The client is responsible for providing accurate information about the property, its ownership and any known defects. The client will disclose restrictions such as easements, covenants, historic designations, hazardous materials reports and pending litigation that could affect the work.
The client will make timely decisions about selections, colors, fixtures and layout. A delayed selection can stop a trade and shift the schedule. The company will send reminders, but the responsibility for the decision remains with the client.
The client will keep the site free of hazards that are outside the company scope, will secure valuables and will inform occupants about planned work. Where the client employs other contractors directly, the client will coordinate those contractors so that they do not interfere with the company work or the safety of the site.
8. Subcontractors and Trade Partners
The company may engage trade partners to perform portions of the work. The company remains responsible to the client for the coordination and quality of the work it contracts, whether that work is performed by company staff or by a trade partner. Trade partners are paid by the company unless the agreement states otherwise.
Trade partners are required to carry insurance that meets the limits stated in the agreement, to follow the site safety plan and to comply with the company confidentiality requirements. The company reviews certificates before mobilization and monitors compliance throughout the project.
Where the client wishes to use a specific trade partner, the client should raise the request before the contract is signed. The company may decline a trade partner that cannot meet insurance, safety or quality standards, or may accept the trade partner with a written allocation of responsibility.
9. Payment Terms
The payment schedule is stated in the agreement and is usually tied to progress milestones. A deposit may be required before mobilization to cover materials and scheduling. Progress payments are due within the period stated on each invoice, commonly fifteen calendar days.
Invoices may include labor, materials, equipment, permits, disposal, coordination time and approved change orders. The company supplies supporting detail on request. Payments are applied to the oldest outstanding balance unless the client directs otherwise in writing.
An overdue balance may accrue interest at the rate stated in the agreement, not to exceed the maximum allowed by law. If a payment remains overdue after written notice, the company may suspend work until the account is current. Suspension is not a termination and does not release the client from amounts already due.
10. Taxes and Permits
The client is responsible for sales tax, use tax and any other tax that applies to the work, except where the company is required by law to collect it. The company will show tax on invoices where required and will cooperate with the client on exemption certificates.
The company will obtain the building permits listed in the agreement or will assist the client in obtaining them where the client is the permit holder. Permit fees are passed through at cost unless the quote states a fixed amount. The client will sign the applications and provide the owner authorization that the jurisdiction requires.
Inspection scheduling is part of the company coordination service. The client is responsible for any reinspection fee caused by work performed outside the company scope or by a change requested after an inspection was scheduled.
11. Insurance and Safety
The company carries general liability insurance and workers compensation coverage as required by law. Certificates of insurance are provided on request or before mobilization. Additional insured status can be arranged for a client or a landlord when the request is made before the start date and the policy permits it.
Safety is a shared duty. The company maintains a site safety plan, provides personal protective equipment, conducts daily hazard reviews and reports incidents. The client will keep unauthorized people out of work areas and will inform the company about hazards on the property that the company does not control.
The company may stop work if a condition presents an imminent danger. A safety stop is not a breach of the agreement. Work resumes when the condition has been corrected and the company has confirmed that it is safe to proceed.
12. Workmanship Warranty
The company warrants its own workmanship for a period of twelve months after substantial completion, unless the agreement states a different period. The warranty covers defects caused by the company installation and does not cover damage caused by normal wear, misuse, neglect, modification by others, water intrusion from a source outside the company scope or failure of a product supplied by another party.
Manufacturer warranties pass to the client for the products installed. The company will provide the product documentation and the warranty contacts in the closeout package. A warranty request should be made in writing with a description and photographs of the issue.
The company will investigate a valid claim within a reasonable time, will make the repair at no charge where the claim is covered and will explain the reason in writing where a claim is declined. Warranty service is scheduled in the normal production queue and is not treated as an emergency unless safety is affected.
13. Concealed Conditions
Existing buildings often hide conditions that no drawing shows. Concealed conditions can include damaged framing, undocumented utilities, inadequate footings, asbestos containing material, mold, water damage or structural changes made without a permit. The company surveys before pricing, but a survey cannot reveal every hidden defect.
When a concealed condition is found, the company will stop the affected work, document the condition with photographs and a written description and notify the client. The company will propose a repair, a price and a schedule effect. The client may approve the repair, engage a specialist or suspend the area while options are considered.
The company will not cover a concealed condition without written approval. Where a licensed specialist is required, for example for asbestos abatement or structural engineering, the company will coordinate the specialist and will not perform the specialized work itself.
14. Delays and Force Majeure
The company is not responsible for a delay caused by events outside its reasonable control. These events include severe weather, flood, fire, earthquake, utility failure, labor disruption, supply chain failure, government action, public health emergency and unusual site access restrictions.
A party affected by such an event will notify the other promptly and will describe the expected effect on the schedule. The schedule will be adjusted by the period of the delay, and the company will take reasonable steps to reduce the impact, such as resequencing trades or sourcing an equivalent material.
Weather sensitive work such as concrete placement and exterior coatings may be affected by temperature, wind or precipitation. The company will not place a slab or apply a coating outside the manufacturer limits, because doing so would compromise quality.
15. Suspension and Termination
Either party may terminate the agreement for convenience with written notice, subject to payment for work performed and for materials and commitments made in reliance on the agreement. Termination for cause is available when the other party materially breaches the agreement and fails to cure the breach within the cure period stated in the contract.
If the client suspends the work, the company will secure the site, protect completed work and document the condition at the point of suspension. A remobilization charge may apply when work resumes, and the schedule will be adjusted for the lost time.
On termination, the company will deliver the work completed to date, the documents prepared for the project and the materials paid for by the client. The client will pay the balance due for work performed, approved changes and non cancelable material orders.
16. Drawings and Intellectual Property
The company retains ownership of its standard details, templates, estimating methods, coordination workflows and site photography. The client receives a license to use the project drawings for the construction, operation and maintenance of the project. The license does not permit the client to reuse the drawings for another site without written permission.
Drawings prepared by an architect or engineer remain the property of that professional under the applicable agreement. The company does not claim ownership of third party design documents. The company will mark its own document sets so that ownership is clear.
The client grants the company permission to photograph the work for quality control and for a project record. Publication of a photograph that identifies the client requires separate permission, and the company will honor a request to remove an image from its public portfolio.
17. Confidentiality
Each party will protect the confidential information of the other. Confidential information includes pricing, business plans, security layouts, equipment schedules, tenant lists and any document marked as confidential. The company limits access to the people who need the information for the project.
The obligation does not apply to information that is already public, that was lawfully received from another source without a duty of confidence or that must be disclosed by law or court order. When disclosure is compelled, the party will give prompt notice where the law allows so that protective measures can be requested.
Confidentiality obligations survive the completion of the project and continue for the period stated in the agreement. Return or destruction of confidential materials is documented when the project closes.
18. Website Content Disclaimer
The website describes services in general terms. It is not a design document, a permit set, an engineering opinion or a substitute for a site survey. Photographs and illustrations are representative and may not depict a specific project or a current condition.
Codes and regulations change, and a statement on this website does not confirm that a particular design meets the current code. Every project requires its own review by the authority having jurisdiction. The company makes no representation that the website content is complete, current or suitable for a particular jurisdiction.
Any article, checklist or guidance note published on the website is offered for general education. A reader who relies on it for a construction decision accepts the risk of doing so, and the company recommends a professional assessment for any significant work.
19. Limitation of Liability
To the extent permitted by law, the company is not liable for indirect, incidental, special, consequential or punitive damages arising from the use of this website or from a service, including lost profit, lost rent, loss of data or business interruption. The company is not liable for a delay caused by a trade partner that the client directed the company to use.
The total liability of the company for a claim arising from a project is limited to the amount stated in the signed agreement. Where the agreement does not state a limit, liability is limited to the amount the client paid for the portion of the work giving rise to the claim.
Nothing in these terms limits liability that cannot be limited by law, including liability for fraud, willful misconduct or a violation of a consumer protection statute that applies to the transaction.
20. Indemnity
The client will indemnify the company against claims, losses and costs that arise from inaccurate information supplied by the client, from a hazard on the property that the client controlled, from work performed by a contractor the client engaged directly or from the client breach of these terms.
The company will indemnify the client against claims that arise from the company negligence or from a defect in the company work, to the extent required by the signed agreement and by applicable law.
An indemnified party will give prompt notice of a claim, will cooperate in the defense and will not settle a claim in a way that admits fault on the part of the other party without written consent.
21. Disputes and Governing Law
These terms are governed by the laws of the State of Utah, without regard to conflict of law rules. The parties will first attempt to resolve a dispute through a written notice and a meeting between authorized representatives within fifteen business days.
If the dispute is not resolved through discussion, the parties may agree to mediation before a neutral mediator. A dispute that remains unresolved after mediation may be brought in a court of competent jurisdiction located in Salt Lake County, Utah, unless the signed agreement requires arbitration.
The prevailing party in a dispute may recover reasonable attorney fees and costs where the law or the agreement allows. Each party will continue to perform its obligations during a dispute that does not relate to the disputed amount.
22. Changes to These Terms
The company may update these terms to reflect a change in law, a change in service or a clarification requested by clients. The effective date at the top of the page will be updated when a new version is published, and material changes will be noted on the homepage.
A change does not alter a signed project agreement unless both parties agree in writing. The version of the terms in effect when a project agreement was signed continues to govern that project.
If any provision of these terms is found to be unenforceable, the remaining provisions stay in effect and the unenforceable provision is replaced by an enforceable provision that comes closest to the original intent.
